1. WHO WE ARE
Titan Battle ("Titan Battle", "we", "us", "our") is a competitive fitness and events brand operating in the Kingdom of Saudi Arabia. These Terms of Service ("Terms") govern your access to and use of the Titan Battle online portal (the "Portal"), including ticketing, team registration, athlete dashboards, and related services (together, the "Services"). Our public-facing shop is operated on Shopify at www.titanbattle.fit and is subject to Shopify's Terms of Service in addition to these Terms.
By creating an account, purchasing a ticket, joining or creating a team, signing a waiver, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. ELIGIBILITY AND ACCOUNTS
You must be at least eighteen (18) years old to create an account, purchase a ticket, or compete in a Titan Battle event. By registering, you represent that the information you provide is accurate, current, and complete, and that you will keep it updated. You are responsible for all activity that occurs under your account and for safeguarding your credentials. Notify us immediately of any unauthorized use. We may refuse, suspend, or terminate accounts in our reasonable discretion where activity violates these Terms, applicable law, or the safety or reputation of the Services.
3. TICKETS AND ENTITLEMENTS
Tickets are sold through our Shopify storefront and your purchase is governed by our Shopify shop terms and refund policy, which apply in addition to these Terms. Once your order is paid, the Portal records a corresponding "entitlement" that allows you to claim a team seat, assign teammates where applicable, and check in on event day. Team tickets include a fixed number of seats per the product description; the buyer assigns the seats to named athletes through the Portal.
Tickets are personal and non-transferable except through the Portal's team-seat assignment flow and subject to our approval. Resale or unauthorized transfer may result in ticket cancellation without refund. Prices are inclusive of applicable VAT unless stated otherwise.
4. REFUND AND CHANGE POLICY
Refunds and cancellations for ticket purchases are handled in accordance with the refund policy published on our Shopify shop. Event schedules, venues, and formats may change for operational, safety, weather, regulatory, or force-majeure reasons; where an event is rescheduled, your ticket will remain valid for the rescheduled date unless we specify otherwise. Where an event is cancelled and not rescheduled within a reasonable period, we will offer a refund of the ticket price as our sole liability, to the maximum extent permitted by applicable law.
5. WAIVER AND SAFETY
Participation in any Titan Battle event requires signing the then-current Participant Waiver, Release, and Assumption of Risk Agreement, complying with the event rules and code of conduct, and following instructions from officials, judges, and medical staff. Failure to do so may result in disqualification without refund. The Waiver is a legally binding agreement and includes assumption of risk, release, indemnity, and photo/video release provisions.
6. INTELLECTUAL PROPERTY
The Titan Battle name, logos, helmet mark, event names (including "Nemesis", "Sand Trap", "Genesis", and "Titan Race"), custom equipment designs (including the Titan Hammer and Titan Shield), and all associated content made available through the Services — text, graphics, photography, video, audio, software, and layouts — are owned by Titan Battle or its licensors and are protected under applicable intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, publicly display, create derivative works from, or reverse engineer any part of the Services. Personal, non-commercial sharing of public event content with proper attribution is permitted.
7. USER CONTENT
When you submit content to the Services (including team names, photos, support messages, or other materials), you grant Titan Battle a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, reproduce, modify, publish, display, perform, and distribute such content for the purposes of operating and promoting the Services and the events. You represent that you have all necessary rights to grant this license and that your content does not infringe third-party rights, defame any person, or violate applicable law.
8. PROHIBITED USES
You agree not to (a) use the Services in violation of any applicable law, regulation, or Sharia principles of public order and morality; (b) interfere with or disrupt the Services or any servers or networks connected to the Services; (c) attempt to gain unauthorized access to any portion of the Services, other user accounts, or any systems or networks connected to the Services; (d) use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission; (e) transmit viruses, malware, or any other harmful code; (f) impersonate any person or misrepresent your affiliation with any person or organization; or (g) use the Services in any manner that could damage, disable, overburden, or impair the Services.
9. THIRD-PARTY SERVICES
The Services rely on third-party providers for hosting, payment processing, analytics, and communications (including, currently, Shopify, Vercel, Neon, Resend, and Google Maps). Your use of features supplied by those providers is subject to their own terms and privacy policies. We are not responsible for the content, policies, or practices of third-party services.
10. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Titan Battle and its owners, directors, employees, agents, sponsors, volunteers, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Services, including loss of data, loss of revenue, loss of profits, or business interruption, even if we have been advised of the possibility of such damages. In no event shall our aggregate liability for all claims relating to the Services exceed the amount you paid Titan Battle in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for death, personal injury caused by gross negligence or willful misconduct, or any other liability that cannot be excluded under applicable Saudi law.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Titan Battle and its owners, directors, employees, agents, sponsors, volunteers, and contractors from any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from (a) your use of the Services; (b) your violation of these Terms or applicable law; or (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights.
13. CHANGES TO THE TERMS
We may update these Terms from time to time. When we do, we will update the "Effective date" above and, where changes are material, we will notify you through the Portal or by email. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms, and any dispute, claim, or obligation (contractual or non-contractual) arising out of or in connection with them or the Services, are governed by the laws and regulations of the Kingdom of Saudi Arabia. The competent courts of the Kingdom of Saudi Arabia sitting in Jeddah shall have exclusive jurisdiction over any dispute, provided that we may, at our option, refer any dispute to the Saudi Center for Commercial Arbitration (SCCA) under its rules, in which case arbitration shall take place in Jeddah in the English language and the award shall be final and binding.
15. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Notice and the Participant Waiver, constitute the entire agreement between you and Titan Battle regarding the Services and supersede any prior agreements on this subject.
